End User Licence Agreement (EULA)

Inscripedia is licensed to You (End-User) by Lumiere123 Inc., located and registered ("Licensor"), for use only under the terms of this License Agreement.
By downloading the Licensed Application from Apple's software distribution platform ("App Store") and Google's software distribution platform ("Play Store" ), and any update thereto (as permitted by this License Agreement), You indicate that You agree to be bound by all of the terms and conditions of this License Agreement, and that You accept this License Agreement. App Store and Play Store are referred to in this License Agreement as "Services."
The parties of this License Agreement acknowledge that the Services are not a Party to this License Agreement and are not bound by any provisions or obligations with regard to the Licensed Application, such as warranty, liability, maintenance and support thereof. Lumiere123 Inc., not the Services, is solely responsible for the Licensed Application and the content thereof.
This License Agreement may not provide for usage rules for the Licensed Application that are in conflict with the latest Apple Media Services Terms and Conditions and Google Play Terms of Service ( "Usage Rules" ). Lumiere123 Inc. acknowledges that it had the opportunity to review the Usage Rules and this License Agreement is not conflicting with them.
Inscripedia when purchased or downloaded through the Services, is licensed to You for use only under the terms of this License Agreement. The Licensor reserves all rights not expressly granted to You. Inscripedia is to be used on devices that operate with Apple's operating systems ("iOS" and "Mac OS" ) or Google's operating system ("Android").

1. THE APPLICATION
Inscripedia (the "Licensed Application") is a software application provided by Lumiere123 inc. that enables users to discover, collect, mint, and manage on-chain literature and book collectibles. The Licensed Application is designed for iOS and Android mobile devices ("Devices") and allows you to connect a self-custodial Bitcoin wallet, browse and purchase eligible collectibles, follow authors, and access content available through the Inscripedia platform.
The Licensed Application is not tailored to comply with industry-specific regulations (including the Health Insurance Portability and Accountability Act (HIPAA), the Federal Information Security Management Act (FISMA), or similar frameworks). If your interactions would be subject to such laws, you may not use the Licensed Application. You may not use the Licensed Application in a way that would violate the Gramm-Leach-Bliley Act (GLBA) or other applicable laws.
2. SCOPE OF LICENSE
- 2.1 You are given a non-transferable, non-exclusive, non-sublicensable license to install and use the Licensed Application on any Devices that You (End-User) own or control and as permitted by the Usage Rules, with the exception that such Licensed Application may be accessed and used by other accounts associated with You (End-User, The Purchaser) via Family Sharing or volume purchasing.
- 2.2 This license will also govern any updates of the Licensed Application provided by Licensor that replace, repair, and/or supplement the first Licensed Application, unless a separate license is provided for such update, in which case the terms of that new license will govern.
- 2.3 You may not share or make the Licensed Application available to third parties (unless to the degree allowed by the Usage Rules, and with Lumiere123 inc.'s prior written consent), sell, rent, lend, lease or otherwise redistribute the Licensed Application.
- 2.4 You may not reverse engineer, translate, disassemble, integrate, decompile, remove, modify, combine, create derivative works or updates of, adapt, or attempt to derive the source code of the Licensed Application, or any part thereof (except with Lumiere123 inc.'s prior written consent).
- 2.5 You may not copy (excluding when expressly authorized by this license and the Usage Rules) or alter the Licensed Application or portions thereof. You may create and store copies only on devices that You own or control for backup keeping under the terms of this license, the Usage Rules, and any other terms and conditions that apply to the device or software used. You may not remove any intellectual property notices. You acknowledge that no unauthorized third parties may gain access to these copies at any time. If you sell your Devices to a third party, you must remove the Licensed Application from the Devices before doing so.
- 2.6 Violations of the obligations mentioned above, as well as the attempt of such infringement, may be subject to prosecution and damages.
- 2.7 Licensor reserves the right to modify the terms and conditions of licensing.
- 2.8 Nothing in this license should be interpreted to restrict third-party terms. When using the Licensed Application, You must ensure that You comply with applicable third-party terms and conditions.
3. TECHNICAL REQUIREMENTS
- 3.1 The Licensed Application requires a compatible smartphone or tablet running a supported version of iOS or Android, as well as a stable internet connection.
- 3.2 Some features (including minting or managing collectibles) may require a self-custodial Bitcoin wallet application installed on your Device.
- 3.3 Licensor may update the Licensed Application over time. While Licensor aims to maintain compatibility with current operating systems and devices, you are not entitled to receive specific updates.
- 3.4 You are responsible for ensuring that your Device meets these requirements and remains compatible with the Licensed Application.
4. MAINTENANCE AND SUPPORT
- 4.1 The Licensor is solely responsible for providing any maintenance and support services for this Licensed Application. You can reach the Licensor at the email address listed in the App Store or Play Store Overview for this Licensed Application.
- 4.2 Lumiere123 Inc. and the End-User acknowledge that the Services have no obligation whatsoever to furnish any maintenance and support services with respect to the Licensed Application.
5. USE OF DATA
Licensor prioritizes user privacy and minimizes data collection. In line with our Privacy Policy, we generally process only information necessary to operate the Licensed Application and the Inscripedia platform (for example, your chosen username, your public Bitcoin wallet address, and content you choose to publish). We do not sell your personal information.
We may collect de-identified technical information (such as crash logs and basic diagnostics) to maintain security, ensure proper operation, and improve the Licensed Application. This information is not used for cross-site tracking and is not linked to your identity.

6. USER-GENERATED CONTRIBUTIONS
The Licensed Application enables you to upload and manage creative works and related materials connected to on-chain literature and book collectibles (for example: books, writings, cover art, descriptions, and listing metadata) (collectively, “Contributions”). Contributions you choose to make available may be visible to other users of the Inscripedia platform, subject to your selections and applicable platform functionality.
- 1. You either own the Contributions or have all rights and permissions necessary to upload, publish, tokenize, list, and otherwise make your Contributions available via the Licensed Application and the Inscripedia platform.
- 2. Your Contributions do not infringe any third party’s intellectual property, privacy, publicity, or other rights and do not include unlawful or prohibited content.
- 3. Your Contributions do not contain malware, malicious code, or any content intended to disrupt or harm the Licensed Application, the Inscripedia platform, other users, or any third party’s systems.
- 4. Your Contributions do not contain sensitive personal data of others without a lawful basis and explicit permission to disclose it.
- 5. Your Contributions comply with all applicable laws and these terms.
We may remove or restrict access to Contributions that, in our reasonable judgment, violate this Agreement or applicable law. Any use of the Licensed Application in violation of this Section may result in suspension or termination of your rights to use the Licensed Application.
7. CONTRIBUTION LICENSE
We do not claim ownership of your books, writings, artworks, or other creative works ("Contributions"). You retain 100% of the rights in your Contributions.
By posting or uploading Contributions to the Licensed Application or the Inscripedia platform, you grant Licensor a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to host, reproduce, display, distribute, and promote your Contributions solely to operate, improve, and promote the platform and the Licensed Application.
This license does not permit us to sell your Contributions outside the operation and promotion of the platform, and it does not affect your underlying copyright ownership. You represent and warrant that you have all rights necessary to grant this license. We may remove or restrict access to Contributions that violate this Agreement or applicable law.
8. LIABILITY
8.1 Provided “As Is.” The Licensed Application is provided to You “as is” and “as available,” without warranties or conditions of any kind, whether express, implied, statutory, or otherwise, except as expressly set out in this Agreement.
8.2 Exclusion of Certain Damages. To the maximum extent permitted by applicable law, in no event shall Lumiere123 Inc., its affiliates, officers, directors, employees, agents, contractors, licensors, or suppliers be liable for any indirect, incidental, special, punitive, exemplary, or consequential damages whatsoever. This includes, without limitation, damages for loss of profits, loss of revenue, loss of business, loss of goodwill, loss of data, business interruption, or other intangible losses, even if Lumiere123 Inc. has been advised of the possibility of such damages.
8.3 Limitation of Direct Damages. To the extent that any liability cannot be excluded under applicable law, Lumiere123 Inc.’s total aggregate liability arising out of or relating to this Agreement, the Licensed Application, or Your use thereof, whether in contract, tort (including negligence), strict liability, or otherwise, shall not exceed the greater of: (a) the total amount actually paid by You (if any) for the Licensed Application in the twelve (12) months immediately preceding the claim, or (b) one hundred Canadian dollars (CAD $100).
8.4 Jurisdictional Limits. Certain jurisdictions, including Québec and other provinces of Canada, do not allow the exclusion or limitation of liability for certain types of damages. In such jurisdictions, some of the limitations above may not apply to You, and You may have additional rights. In such cases, Lumiere123 Inc.’s liability shall be limited to the maximum extent permitted by law.
9. WARRANTY
- 9.1 The Licensed Application is provided by Lumiere123 inc. “as is” and “as available,” but at the time of initial download we warrant it is free from known viruses, trojan horses, spyware, or similar malicious code and will substantially perform as described in our user-facing documentation.
- 9.2 No warranty applies where the Licensed Application is used on unsupported devices or operating systems, has been modified without authorization, is combined with incompatible software or hardware, is used with prohibited accessories, or where issues arise from factors outside Lumiere123 inc.’s reasonable control.
- 9.3 You must promptly notify us of any defect using the email listed in Section 12 (Contact Information). We will review defect reports submitted within ninety (90) days of discovery and, if confirmed, will use reasonable efforts to remedy by patch, update, or other workaround.
- 9.4 If we confirm a defect within our control, Lumiere123 inc. may, at its discretion, remedy the defect, provide a functionally equivalent update, or offer another reasonable resolution consistent with applicable law.
- 9.5 On-chain transactions and keys. All transactions related to collectibles occur on the Bitcoin network and are irreversible. Lumiere123 inc. does not custody, store, or have access to your private keys or seed phrases. You are solely responsible for safeguarding your wallet credentials and for any loss arising from lost or compromised keys, misdirected transactions, or network issues beyond our control.
- 9.6 Payments and refunds. If you obtained the app via an app store and paid a store fee, any refund rights for the app download itself (not on-chain purchases) are governed by that store’s policies. Purchases of on-chain collectibles are final and non-refundable due to the irreversible nature of blockchain transactions, except where a mandatory consumer right applies.
10. PRODUCT CLAIMS
Lumiere123 inc. and you acknowledge that Lumiere123 inc.—and not Apple or Google— is responsible for addressing any claims by you or a third party relating to the Licensed Application or your possession and/or use of the Licensed Application, including, without limitation:
- (i) product liability claims;
- (ii) claims that the Licensed Application fails to conform to any applicable legal or regulatory requirement; and
- (iii) claims arising under consumer protection, privacy, or similar legislation.
11. LEGAL COMPLIANCE
You are responsible for ensuring that your use of the Licensed Application and any blockchain functionality (including the use of Bitcoin wallets and on-chain collectibles) is permitted under the laws of your jurisdiction. You represent and warrant that you are not prohibited from using cryptographic software or blockchain services under applicable law, and that you will not use the Licensed Application in any jurisdiction where such use would be illegal. If you obtained the app through Apple’s App Store or Google Play, you also agree to comply with all applicable store policies and developer terms.

13. TERMINATION
The license is valid until terminated by Lumiere123 Inc. or by You. Your rights under this license will terminate automatically and without notice from Lumiere123 Inc. if You fail to adhere to any term(s) of this license . Upon License termination, You shall stop all use of the Licensed Application, and destroy all copies, full or partial, of the Licensed Application.
14. THIRD-PARTY TERMS OF AGREEMENTS AND BENEFICIARY
Lumiere123 inc. will comply with applicable third-party terms when using or distributing the Licensed Application, including any terms required by mobile app stores or integrated service providers.
If you obtained the Licensed Application via Apple’s App Store or Google Play, you acknowledge and agree that Apple and Google (and their respective subsidiaries) are third-party beneficiaries of those portions of this Agreement applicable to distribution through their stores and may enforce such terms against you as third-party beneficiaries.
15. INTELLECTUAL PROPERTY RIGHTS
Lumiere123 Inc. and the End-User acknowledge that, in the event of any third-party claim that the Licensed Application or the End-User's possession and use of that Licensed Application infringes on the third party's intellectual property rights, Lumiere123 Inc., and not the Services, will be solely responsible for the investigation, defense, settlement, and discharge or any such intellectual property infringement claims.
16. APPLICABLE LAW
This License Agreement is governed by and construed in accordance with the laws of the Province of Québec, Canada, without regard to conflict of law principles.
17. MISCELLANEOUS
- 17.1 If any of the terms of this agreement should be or become invalid, the validity of the remaining provisions shall not be affected. Invalid terms will be replaced by valid ones formulated in a way that will achieve the primary purpose.
- 17.2 Collateral agreements, changes and amendments are only valid if laid down in writing. The preceding clause can only be waived in writing.
